1. Software Licensing & Usage Rights

Upon full payment for any software module or custom development project, Bijesh Softech grants you a non-exclusive, non-transferable license to deploy and operate the compiled software application on your designated server domain.

• Single Instance Usage: Standard software licenses are valid for deployment on one (1) primary domain or server instance unless an Enterprise Multi-Domain license is explicitly purchased.
• Prohibited Redistribution: You may not resell, sub-license, rent, lease, or publicly distribute Bijesh Softech source code frameworks, core binaries, or proprietary database schemas to unauthorized third parties.
• Modification Restrictions: Reverse engineering or tampering with core security nodes, JWT authentication logic, or licensing validation hooks is strictly prohibited.

2. Order Placement & Payment Verification

All software purchases and custom project orders are subject to manual verification by our financial audit desk.

• UTR / Transaction ID Verification: When submitting payment proofs (UPI, Net Banking, Razorpay, or Direct Deposit), clients must provide a valid 12-digit UTR or Transaction ID along with screenshot evidence.
• Non-Refundable Policy: Due to the digital and proprietary nature of software source code and server deployment services, all verified software orders and deposit payments are non-refundable once staging access or source code has been dispatched.

3. Custom Development & Client Specifications

For custom web application projects, custom MLM binary matching structures, or specialized ERP integrations:

• Scope Baseline: Development milestones and deliverable timelines are determined based on the specifications submitted via our Proposal Request form or written agreements.
• Scope Revisions: Any additional feature requests or workflow modifications requested after project sign-off may incur supplementary development charges and timeline extensions.
• Client Staging Responsibilities: Clients are responsible for providing valid server environment access (Linux, PHP 8+, MySQL/MariaDB) or domain configuration details required for staging.

4. Server Uptime & Service Level Agreement (SLA)

Bijesh Softech strives to engineer zero-deadlock, high-availability software architectures backed by Redis in-memory caching and sub-20ms latency execution.

• Hosted Services Uptime: For systems hosted directly on Bijesh Softech managed cloud infrastructure, we target a 99.9% operational server uptime, excluding scheduled maintenance windows.
• Scheduled Maintenance: Maintenance procedures are conducted during low-traffic periods. Advance notification will be dispatched via email or client console alerts.
• Third-Party Hosting: Bijesh Softech is not liable for performance degradation, server downtime, or database crashes caused by third-party hosting providers or unrecommended server configurations managed by the client.

5. Data Privacy & Tenant Isolation

We prioritize rigorous data security protocols, tenant data isolation, and transactional partitioning across all software blueprints.

• Data Ownership: You retain complete ownership of all business data, student/patient records, MLM network tree downlines, and financial ledgers generated within your software instance.
• Data Isolation: Client databases are logically isolated. Bijesh Softech does not share or expose client operational data to unauthorized external entities.
• Backups: While Bijesh Softech implements automated database snapshots on managed instances, clients operating self-hosted servers are advised to maintain independent daily offsite backups.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Bijesh Softech, its directors, engineers, or affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from:

• Loss of business profits, revenue, or operational downtime resulting from client server failure or network outage.
• Third-party API disruptions (e.g., payment gateway API outages, WhatsApp API suspensions, or SMS gateway delays).
• Unauthorized access resulting from weak client passwords or compromised administrative login credentials.

7. Termination & Service Suspension

Bijesh Softech reserves the right to suspend or terminate client account access, API webhook dispatches, or software maintenance agreements without prior notice if:

• The software application is utilized for illegal activities, fraud, or phishing under applicable laws.
• Unauthorized distribution or pirating of proprietary source code is detected.
• Client payment obligations remain delinquent beyond thirty (30) days from the due date.

8. Governing Law & Dispute Resolution

These Terms and any operational disputes arising from software contracts shall be governed by and construed in accordance with the laws of the Republic of India. Any legal proceedings or arbitration shall fall under the exclusive jurisdiction of the competent courts in Agartala, West Tripura, India.
